FTD technology and development expenses remained relatively flat for the year ended December 31, 2012, compared to the year ended
December 31, 2011.
The increase in FTD general and administrative expenses was primarily due to a $0.9 million increase in legal costs and transaction-related costs of
$0.5 million in connection with the acquisition of the Gifts Division of Flying Brands Limited.
Restructuring and other exit costs for the year ended December 31, 2011 totaled $0.9 million and were associated with reductions in headcount.
