We have also excluded the Flying Flowers, Flowers Direct and Drake Algar businesses from our audit of internal control over financial reporting. The
total assets and total revenues of these excluded businesses represented less than 1% of the related consolidated financial statement amounts as of and
for the year ended December 31, 2012.
As described in Management's Report on Internal Control over Financial Reporting appearing under Item 9A, management has excluded the
schoolFeed business from its assessment of internal control over financial reporting as of December 31, 2012 because it was acquired by the Company
in a purchase business combination during 2012. We have also excluded the schoolFeed business from our audit of internal control over financial
reporting. The total assets and total revenues of the schoolFeed business represented 2% and less than 1%, respectively, of the related consolidated
financial statement amounts as of and for the year ended December 31, 2012.
