The Participating Companies shall indemnify and hold harmless each member of the Committee against any and all liability,
claims, damages and expense (including all expenses reasonably incurred in his defense in the event that the Participating
Companies fail to provide such defense upon his written request) which the Committee member may incur while acting in good
faith in the administration of the Plan.
