nothaveaMaterialAdverseEffect.Sellershaveawrittenprivacypolicywhichgovernsthecollection,useanddisclosureofpersonalinformationandSellersare
incomplianceinallmaterialrespectswithsuchpolicy.
6.21 Canadian Competition Act and Investment Canada Act .
(a)TheSellers,togetherwiththeiraffiliates(asthattermisdefinedinsubsection2(2)oftheCanadianCompetitionAct)haveassetsin
CanadathatdonotexceedC$100millioninaggregatevalue,andgrossrevenuesfromsalesin,fromorintoCanadathatdonotexceedC$195millioninaggregate
value;ineachcasedeterminedinaccordancewithsubsection109(1)oftheCanadianCompetitionActandtheregulationsthereunder.
(b)TheBusinessinCanadadoesnotcarryonanyoftheactivitiesofa“culturalbusiness”asthattermisdefinedinsubsection14.1(6)ofthe
InvestmentCanadaAct.
6.22 Full Disclosure .
(a)TotheKnowledgeofSellers,thereisnofact(otherthanpubliclyknownfactsrelatedexclusivelytopolitical,marketplace,accountingor
economicmattersofgeneralapplicabilitythatwilladverselyaffectEntitiescomparabletoSeller)thatmayhaveaMaterialAdverseEffectotherthanasmaybeset
forthontheSellerDisclosureSchedule.
(b)EachrepresentationandwarrantysetforthinthisARTICLE6isnotqualifiedinanywaywhatsoeverexceptasexplicitlyprovidedtherein
orintheSellerDisclosureSchedule,willnotmergeonClosingorbyreasonoftheexecutionanddeliveryofanyContractattheClosing,willremaininforceon
andimmediately aftertheClosingDatefortheperiodprovided inSection10.1, isgivenwiththe intentionthatLiabilityisnot limitedtobreachesdiscovered
beforeClosing,isseparateandindependentandisnotlimitedbyreferencetoanyotherrepresentationorwarrantyoranyotherprovisionofthisAgreementorthe
otherTransactionAgreements,andismadeandgivenwiththeintentionofinducingPurchasertoenterintothisAgreementortheotherTransactionAgreements.
ARTICLE 7.
REPRESENTATIONS AND WARRANTIES OF PURCHASER AND PCM
Purchaser and PCM hereby represent and warrant, jointly and severally, as of the date hereof and as of the Closing Date to Sellers and Systemax as
follows:
7.1 Organization and Good Standing .U.S.Purchaserisdulyorganized,validlyexistingandingoodstandingunderthelawsofDelaware.
Canadian Purchaser is duly organized, validly existing and in good standing under the laws of Alberta. PCM is duly organized, validly existing and in good
standingunderthelawsofDelaware.PCMhasheretoforemadeavailabletoSellerstrueandcompletecopiesofthecertificatesofincorporationandbylawsof
PCMandPurchaserasineffectonthedatehereof.U.S.PurchaserisadirectwhollyownedsubsidiaryofPCM.CanadianPurchaserisadirectwhollyowned
subsidiaryofPCMSalesCanada,Inc.,andPCMSalesCanada,Inc.isadirectwhollyownedsubsidiaryofPCM.
