CompanyRepresentativeswillnotdiscriminateagainstanyCompanyemployeeorpotentialemployeeonthebasisofrace,color,religion,sex,nationalorigin,age,
handicap,veteranstatus,maritalstatusorsexualpreference.CompanyRepresentativeswillbesensitivetotherightsofallemployeestoworkinanenvironment
freefromallaspectsofillegaldiscrimination,includinganenvironmentfreefromallformsofillegalharassment.
8. Fairdealing:
CompanyRepresentativesshouldendeavortodealfairlyandhonestlywiththeCompany’scustomers,suppliers,competitorsandemployeesandshouldnottake
unfairadvantageofanyonethroughmanipulation,concealment,abuseofprivilegedinformation,misrepresentationofmaterialfacts,oranyotherunfairdealing
practice.CompanyRepresentativesshallnotknowinglyengageinconductthatresultsintheCompanyusinganytradesecrets,copyrights,trademarks,patentsor
otherproprietaryorconfidentialinformationbelongingtoacompetitor.
9. CompliancewithApplicableLawsandRegulationsofGovernmentalBodiesandAgencies:
TheCompanyandallCompanyRepresentativesshallfullycomplywithallapplicablelawsandregulations,includingsecuritieslaws(whichrequirefairdisclosure
oftheCompany’sbusinessandfinancialinformationtothepublicandprohibitanyuseofinsideinformationabouttheCompanyindecidingtobuyorsellstockof
theCompany,amongotherthings),antitrustlaws(whichestablishstandardsfordealingfairlywithcompetitors,suppliersandcustomers),lawsregardingsafetyin
the workplace, laws relating to the preservation of the environment, laws protecting employees and prospective employees from discrimination or sexual
harassment,customslaws,includingcountryoforiginmarkingandvaluelaws,andotherlawsregulatingproductsaswellaslawsprohibitingcorrupt practices
suchaspaymentstopublicofficialsorimproperpoliticalactivities.
WhiletheCompanyencouragesitsemployeestoparticipateinthepoliticalprocess,theyarecautionednottocreatetheimpressionthattheyspeakoractonbehalf
oftheCompany.CertainU.S.andforeignlawsprohibittheCompanyfromcontributingtopoliticalcandidatesofpartiesorpartyofficialsexceptunderlimited
conditions. The numerous applications of domestic and international laws to the activities of the Company cannot be set forth fully here, but all Company
Representativesshouldbesensitivetotheongoingneedtoassureappropriateconsiderationofanyactivitythatmightviolateanysuchlaws.Clarificationofthese
matterscanbeobtainedbycontactingtheCompany’sGeneralCounsel.
ForeignCorruptPracticesAct
Manycountrieshavelawsorrulesprohibitinggiftstopeoplewhoareemployedbythegovernmentofthatcountry.InadditiontheU.S.ForeignCorruptPractices
Act prohibits the Company or anyCompany Representative from making a payment or giving anything ofvalue to a foreign official or political party for the
purposeofobtainingorretainingbusiness.Thisprovisionalsoappliestopaymentsoroffersofanythingofvaluetointermediaries,salesrepresentativesoragents
if the Company Representative knows, or has reason to know, that the payment or offer will be used for a prohibited payment, gift or favor. Company
Representativesmustobeytheselaws.
ExportControlLawsandRegulations
ItistheCompany’spolicytocomplywiththeexportcontrollawsandregulationsofallcountriesinwhichtheCompanydoesbusiness.Compliancewiththese
lawsandregulationsmayresultinsomelossofbusinessopportunitiesbutafailuretocomplymayresultinfinesandpenaltiesandlossofexportingprivileges.
U.S.customslawprohibitstheshipmentofgoodstocertaincountriesaswellastocertaindesignatedindividualsandentitieswhileshipment(includingre-export)
