PurchaseranditssuccessorsandassignstoassumefullresponsibilityandliabilityfortheAssumedLiabilities.
ARTICLE 4.
PRE-CLOSING COVENANTS
4.1 S ellers’ Conduct of the Business Prior to Closing .FromthedateofthisAgreementuntiltheClosingDate,exceptasprovidedonSchedule
4.1orinthisAgreement,Sellersshall,andshallcausetheirrespectiveofficers,directors,employeesandagents,tousereasonablecommercialefforts(withoutany
requirementtopayadditionalcompensation)tokeepintactandpreserveallrightsinrespectofthePurchasedAssetsandtheTransferredEmployees.
4.2 Restrictions on Sellers’ Conduct of the Business Prior to Closing . From thedateofthisAgreementuntiltheClosingDate,exceptas
providedonSchedule4.2,Sellersshallnot,andshallcausetheirrespectiveofficers,directorsandemployees,notto:
(a)Enterinto,create,voluntarilyincurorassumeanyborrowingsundercapitalleasesthatareincludedinthePurchasedAssets;
(b)Sell,transfer,lease,licenseorotherwiseencumberanyofthePurchasedAssets,exceptforEncumbrancesprovidedunderexistinglender
securityarrangementsarisingintheordinarycourseofbusiness;
(c)Violate,terminateoramendanySellerContract;
(d)CommenceaProceedingwithrespecttothePurchasedAssetsorAssumedLiabilitiesotherthanforinjunctivereliefonthegroundsthata
Seller has suffered immediate and irreparable harm not compensable in money damages if Sellers have obtained the prior written consent of Purchaser, such
consentnottobeunreasonablywithheld,unlesssuchProceedingisagainstPurchaser,inwhichcasePurchaserconsentisnotrequired;
(e)FailtousereasonablecommercialeffortstomaintainthePurchasedAssetsingoodrepair,orderandcondition,reasonablewearandtear
excepted;or
(f)EnterintoanyContractoragree,inwritingorotherwise,totakeanyoftheactionsdescribedinSection4.2(a)through(e)above,orany
action that would make any of its representations or warranties contained in this Agreement untrue or incorrect in any material respect or prevent it from
performingorcauseitnottoperformitscovenantshereunder.
