and assist the Indemnitee or the Indemnitor, as the case may be, in connection with any Third Party Defense, including attending conferences, discovery
proceedings,hearings,trialsandappealsandfurnishingrecords,informationandtestimony,asmayreasonablyberequested;providedthateachpartyshalluseits
bestefforts,inrespectofanyThirdPartyClaimofwhichithasassumedthedefense,topreservetheconfidentialityofallconfidentialinformation(subjecttoany
obligationsunderanyLegalRequirements)andtheattorney-clientandwork-productprivileges.
10.6 Direct Claims .IntheeventofaclaimorpotentialclaimthatdoesnotinvolveaThirdPartyClaimbeingassertedagainstit,theIndemnitee
shall deliver a Notice of Claim to theIndemnitor. The Notice of Claim shall set forth the amount,if known, or, if not known, an estimate ofthe foreseeable
maximumamountofclaimedDamages(whichestimateshallnotbeconclusiveofthefinalamountofsuchDamages)andadescriptionofthebasisforsuchclaim.
The Indemnitor will have thirty days from receipt of such Notice of Claim to dispute the claim and will reasonably cooperate and assist the Indemnitee in
determiningthevalidityoftheclaimforindemnity.IftheIndemnitordoesnotgivenoticetotheIndemniteethatitdisputessuchclaimwithinthirtydaysafterits
receiptoftheNoticeofClaim,theclaimspecifiedinsuchNoticeofClaimwillbeconclusivelydeemedDamagessubjecttoindemnificationhereunder.
10.7 Exclusive Remedies .Except(i)asotherwiseprovidedinthisAgreementoranotherTransactionAgreement,(ii)forclaimsarisingunderthe
NoncompetitionAgreement,or(iii)forclaimsbaseduponfraud,followingtheClosingthisARTICLE10setsforththeexclusiveremediesofthepartiesforbreach
ofanyrepresentation,warranty,certification,covenantorotheragreementinthisAgreementortheotherTransactionAgreements,itbeingunderstoodthataparty
mayinstituteaProceedingtoenforcetheprovisionsofthisAgreementinamannerconsistentwiththisARTICLE10.Notwithstandingtheforegoing,thisSection
10.7willnotaffectanyspecificenforcementremedyavailabletoanyparty.
10.8 Adjustment to Purchase Price . AnypaymentmadebySellerspursuanttothisARTICLE10willconstituteadollar-for-dollardecreaseofthe
PurchasePriceandanypaymentmadebyPurchaserpursuanttothisARTICLE10willconstituteadollar-for-dollarincreaseofthePurchasePrice.Forgreater
certainty,anyreductionof,orincreasein,thePurchasePriceshallbeallocatedamongstthePurchasedAssets(andamongstSellersandPurchaser)totheextent
thatsuchadjustmentsreasonablyrelatetosuchproperty.
ARTICLE 11.
MISCELLANEOUS PROVISIONS
11.1 Press Releases and Announcements .Anypublicannouncement,includinganyannouncementtoemployees,customers,suppliersorothers
havingdealingswithPurchaser,PCM,SystemaxorSellers,orsimilarpublicitywithrespecttothisAgreementortheTransaction,willbeissuedatsuchtimeand
insuchmannerasPurchaserandSystemaxmutuallydetermine.Purchaserwillhavetherighttobepresentforanyin-personannouncementbySellers.Unless
consented to by Purchaser or required by applicable Legal Requirement, Systemax and each Seller will keep the Transaction and the Transaction Agreements
confidential.UnlessconsentedtobySystemaxorrequiredbyapplicableLegalRequirement,PurchaserwillkeeptheTransactionandtheTransactionAgreements
confidential.
