The Corporate Ethics Policy of Systemax Inc. (the “Company”) was prepared to provide the directors, officers, employees and other representatives of the
Companyanditssubsidiaries(collectively“CompanyRepresentatives”)aswellastheCompany’sshareholders,customers,suppliersandthegeneralpublicwitha
statement of the Company’s commitment to ethical business conduct. This Corporate Ethics Policy applies to the Company and all of its subsidiaries on a
worldwidebasis. TheCompany iscommittedtoacting asaresponsibleand ethical corporateworldcitizen.CompanyRepresentativeswillconductCompany
businesswiththehighestregardfortheCompany’sethicalandlegalobligationsandwiththeutmostloyaltytoitsshareholdersandcustomers.Itisthedutyofall
CompanyRepresentativestoseethatthesepoliciesarefollowed.EveryCompanyRepresentativeisexpectedtocomplywiththesepolicies.Failuretodosomay
not only harm the Company and your fellow employees, it will subject you to disciplinary action, including termination of employment under appropriate
circumstances.
Summary of Duties for All Company Representatives:
·AvoidconflictsofinterestandpotentialconflictsofinterestbetweenyouandtheCompany.
·Donotofferormakegiftstocustomers(unlessnotofexcessivevalueandunlessforabusinesspurposeoftheCompany).Cashorcashequivalentgifts
ofanyvalueareabsolutelyprohibited.
·Donotofferormakegiftsorpaymentstoorotherwiseattempttobribeorunfairlyinfluenceagovernmentofficial.
·Donotacceptgiftsorotherpersonalpaymentsfromsuppliers,serviceproviders,customersorcompetitors(unlessnotofexcessivevalue).Cashorcash
equivalentgiftsofanyvalueareabsolutelyprohibited.
·Do not compete with the Company or take personal advantage of Company business opportunities, or have significant interests in companies the
Companydoesbusinesswith.
·Donotwaste,misappropriateormisuseCompanyassets.
·Keepallnon-publicCompanyinformationconfidential.
·Dealwithallcustomers,suppliersandcompetitorsfairly.
·Complywith all lawsandgovernmentregulationsinall countries where theCompanydoesbusiness including laws againstnon-competitive practices
(antitrustlaws),insiderstocktrading,employmentdiscrimination,briberyandotherforeigncorruptpractices,workplacesafetylawsandexport/customs
laws.
·DiscloseandrecordaccuratelyanyuseofCompanyfunds.
·Donotfalsify,inflateordisguiseanyaccountingrecordorotherbusinessrecordsoftheCompany.
·Reportallviolationsoflawand/orCompanyEthicsPolicytoappropriateCompanyofficials(see Section11below) ortotheCompany’sAnonymous
ComplaintHotline(seeSection12below).

1. LoyaltytotheCompanyanditsShareholders:
CompanyRepresentativesoweadutyofloyaltytotheCompanyandtoitsshareholders.Thedutyofloyaltyincludesbothadutytoprotecttheinterestsofthe
CompanyandanobligationtorefrainfrombusinessconductthatwouldinjuretheCompanyanditsshareholders.
