amongIntelligent IT, Inc.,aDelawarecorporation(“U.S.Purchaser”),Acrodex Inc., an Alberta corporation (“ CanadianPurchaser” and, togetherwithU.S.
Purchaser,“Purchaser”),PCM,Inc.,aDelawarecorporationandtheultimateparentofPurchaser(“PCM”),SystemaxInc.,aDelawarecorporation(“Systemax
”),andTigerDirect,Inc.,aFloridacorporation,TigerDirectCA,Inc.,acorporationorganizedunderthelawsofOntario,Canada,GlobalGov/EdSolutions,Inc.,a
Delaware corporation, Infotel Distributors Inc., a Delaware corporation, Tek Serv Inc., a Delaware corporation, Global Computer Supplies, Inc., a New York
corporation,SYXDistributionInc.,aDelawarecorporation,SYXServicesInc.,aDelawarecorporation,SYXNorthAmericanTechHoldings,LLC,aDelaware
limited liability company, Software Licensing Center, Inc.,a Florida corporation, and Pocahontas Corp., a Delawarecorporation (individually a “ Seller”and
collectively“Sellers”)ismadeandenteredintoasofDecember1,2015byandamongPurchaser,PCM,SystemaxandSellers.Capitalizedtermsusedbutnot
definedinthisAmendmentshallhavethemeaningascribedtosuchtermsinthePurchaseAgreement.
1.ClarificationRegardingSection1.1(b).Forpurposesofclarity,clause(iii)ofSection1.1(b)ofthePurchaseAgreementshallbesubjectin
allrespects toSection1.6of the PurchaseAgreement,Section8.14of thePurchaseAgreement(as amended hereby)andthetermsand conditionsoftheother
TransactionAgreements.
2.Amendment to Schedule 1.1(e) . All references to “Verizon” and related agreements in column “Carrier MPLS” under the heading
“Telephony/Connectivity”onSchedule1.1(e)tothePurchaseAgreementshallbedeletedintheirentirety.
3.AdditionofSection1.6(c).AnewSection1.6(c)shallbeaddedtothePurchaseAgreementandshallreadinfullasfollows:
“(c)NotwithstandinganythingcontainedinthisAgreementtothecontrary,titletothatcertainMasterLeaseAgreement
No. 16086, dated July 2, 2014, by and between EMC Corporation and SYX Services Inc. and related assets, including
without limitation, the EMC database and related hardware and software (collectively, the “ EMC Assets ”) shall be
transferredtoPurchaserontheClosingDate,butpossessionanduseoftheEMCAssetsshallremainwiththeSellersuntil
February 15, 2016. Purchaser hereby grants to Sellers a nonexclusive, irrevocable, non-sublicenseable, non-transferable,
fully-paid and royalty-free license to use the EMC Assets, subject to the terms and conditions of the Noncompetition
Agreement,solely(i)forpurposesofsellingthroughSellers’inventoryuntilFebruary15,2016,(ii)forpurposesofwinding
upSellers’accountsthroughDecember31,2016and(iii)forfinancialreporting,Taxaudits,unclaimedpropertyinquiries,
otherrecordkeepingpurposesandcustomerservicethroughDecember31,2016.Notwithstandingtheforegoing,untilthe
Website Cutover Date, the Sellers shall allow complete and unrestricted access to and use of the EMC Assets for
Purchaser’soperationofitsbusinessto(i)allTransferredEmployees,(ii)alltraining,creditandcustomerservicepersonnel
ofPurchaseranditsAffiliates,and(iii)anyadditionalmutuallyagreeablepersonnelrequestedbyPurchaser,whichconsent
shallnotbeunreasonablywithheldbySellers.Sellersshallusereasonablecommercialeffortstoreducetheiruseofandto
migrateoffoftheEMCAssets.UntiltheearlierofsuchmigrationorDecember31,2016,Purchasershallmaintainsuch
agreement and not take any action (or fail to take any action) within its reasonable control which may result in any
terminationorreductionoftheEMCAssetsortheaforesaidagreement.”
