CERTAIN DEFINITIONS
“Affiliate”means,withrespecttoanyPerson,anyotherPersonthatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwithsuchPerson.
Forpurposesofthisdefinition,aPerson“controls”anotherPersonifthatPersonpossesses,directlyorindirectly,thepowertodirectthemanagementandpolicies
ofthatotherPerson,whetherthroughownershipofvotingsecurities,byContractorotherwise,and“controlledby”and“undercommoncontrolwith”havesimilar
meanings.
“Agreement”meanstheAssetPurchaseAgreementto whichthisExhibitAisattached(includingtheSellerDisclosureScheduleandall other schedules and
exhibitsattachedhereto),asitmaybeamendedfromtimetotime.
“Business”shallmeantheB2BbusinessactivitiesconductedbytheNorthAmericanTechnologyGroupofSystemax(“NATG”),otherthantheExcluded
Business.
“BusinessDay”meansanydayotherthan(i)aSaturdayoraSundayor(ii)adayonwhichbankinginstitutionsareauthorizedorrequiredbylawinthestateof
Californiatobeclosed.
“CanadianCompetitionAct””meanstheCompetitionAct,R.S.C.1985,c.C34,asamended.
“Code”meanstheInternalRevenueCodeof1986,asamended.
“Consent”meansanyapproval,consent,ratification,permission,waiverorauthorization(includinganyGovernmentalApproval).
“Contract” means any agreement, contract, consensual obligation, promise, understanding, arrangement, commitment or undertaking of any nature (whether
writtenororalandwhetherexpressorimplied).
“Copyrights”meansallcopyrights,includinginandtoworksofauthorshipandallotherrightscorrespondingtheretothroughouttheworld,whetherpublishedor
unpublished,includingrightstoprepare,reproduce,perform,displayanddistributecopyrightedworksandcopies,compilationsandderivativeworksthereof.
“CustomerData”meansalldataregardingcustomersandcustomerprospectsdescribedinSection1.1(g).
“Damages”means,withrespecttoanyPerson,anydamage,liability,demand,claim,action,causeofaction,cost,deficiency,penalty,fineorotherlossorout-of-
pocketexpense(includingactualattorneys’andotherprofessionalfeesandexpertfees),whetherornotarisingoutofathirdpartyclaim,againstoraffectingsuch
Person.
“DefinedBenefitPlan”meanseitheraplandescribedinSection3(35)ofERISAoraplansubjecttotheminimumfundingstandardssetforthinSection302of
ERISAandSection412oftheCode.
