AnEthicspointcompliancespecialistwillguideyouthroughthequestionstocompletethereport.Thereportswillbeavailableonlytospecificindividualsinthe
Company who are charged with evaluating and, when appropriate, investigating the violation.  The system is designed so that no report is ever shared with
implicatedparties.
TheCompanybelievesthishotlinewillbeaneffectivetoolinreducinglossesfromimproperaccounting,fraud,theftandotherillegaland/orunethicalpractices
andthereforehelptoprotecttheCompany’sreputationandfinancialstrength.IfyouareuncertainifapracticeviolatesCompanypolicyorisillegal,pleasecall
thehotline.TheCompanywouldratherbeinformedofapotentialproblemthanletitgounchecked.Shouldyouhaveanyquestionsregardingtheanonymous
reportingproceduresorthehotline,youmaycontactEricLerner,theCompany’sSeniorVicePresidentandGeneralCounsel.
11. ExceptionsinParticularCases;Waiver.
Incertainverylimitedcircumstances,theCompany,actingthroughtheBoardofDirectors’CorporateGovernanceCommitteeandafterbeingprovidedwithfull
andcompleteinformationastothecircumstances,upontherequestofaCompanyRepresentative,maypermitanactivityotherwiserestrictedunderthisPolicy
(otherthananactivitythatwouldconstituteillegalconduct).Insuchcases,priorwrittendisclosureofthemattershallbemadetooneofthepersonsidentifiedin
Section11aboveforfurtherconsiderationbytheCorporateGovernanceCommitteeastowhethersuchactivityshouldbepermitted.Intheeventthatsuchwaiver
isrequestedbyadirectororexecutiveofficeroftheCompany,suchwaivermaybegrantedonlybytheBoard,andmustbepromptlydisclosedtoshareholders.
12. ImportanceofCompliancewithThesePolicies:
ItisthedutyofallCompanyRepresentativestoseethatthesepoliciesarefollowed.EveryCompanyRepresentativeisexpectedtocomplywiththepoliciesset
forthabove.Failure to do so may notonly harmthe Companyand yourfellow employees,itwillsubject you to disciplinary action,includingtermination of
employmentunderappropriatecircumstances.
