(i)Fact,circumstance,event,oractionknownbyPurchaser(i)which,ifknownonthedateofthisAgreement,wouldhavebeen
required to be disclosed in or pursuant to this Agreement; or (ii) the existence, occurrence, or taking of which would result in any of the representations and
warrantiesofPurchaserorPCMcontainedinthisAgreementorinanyTransactionAgreementnotbeingtrueandcorrectwhenmadeoratClosing;
(ii)BreachofanycovenantorobligationofPurchaserorPCMhereunder;or
(iii)Circumstanceoreventwhichwillresultin,orcouldreasonablybeexpectedtoresultin,thefailureofPurchaserorPCMto
timelysatisfyanyoftheclosingconditionsspecifiedinthisAgreement.
4.5 Updating the Seller Disclosure Schedule .Ifanyevent,condition,factorcircumstancethatisrequiredtobedisclosedpursuanttoSection4.4
wouldrequireachangetotheSellerDisclosureScheduleiftheSellerDisclosureScheduleweredatedasofthedateoftheoccurrence,existenceordiscoveryof
suchevent,condition,factorcircumstance,thenSystemaxshallpromptlydelivertoPurchaseranupdatetotheSellerDisclosureSchedulespecifyingsuchchange
andshalluseitsreasonablecommercialeffortstoremedysame,asapplicable,totheextentsusceptibleofremedy;provided,however,thatnosuchupdateshall
bedeemedtosupplementoramendtheSellerDisclosureScheduleforthepurposeof(i)determiningtheaccuracyofanyoftherepresentationsandwarrantiesof
SellersinthisAgreementor(ii)determiningwhetheranyoftheclosingconditionssetforthinARTICLE3havebeensatisfied.
4.6 Access to Information .
(a)FromthedateofthisAgreementuntiltheClosing,Systemaxshall(i)permitPurchaseranditsRepresentativesuponreasonableprior
requesttohavereasonableaccessatallreasonable times,andinamannersoasnottointerferewiththenormalbusinessoperationsofSellers,toallpremises,
properties,personnel, Personshavingbusiness relationships withSellersrelated tothePurchasedAssets, books,records(including Taxrecords),contracts,and
documents of or pertaining to the Purchased Assets; (ii) furnish Purchaser with all financial, operating and other data and information related to the Business
(includingcopies thereof), asPurchasermayreasonablyrequest; and (iii)otherwisecooperateandassist, totheextentreasonablyrequested byPurchaser,with
Purchaser’sinvestigationoftheBusiness,thePurchasedAssetsandtheAssumedLiabilities;ineachoftheforegoingcasestotheextentrelatedtotheBusiness,the
Purchased Assets or the Assumed Liabilities. Notwithstanding the foregoing, Purchaser shall not contact directly or indirectly any Systemax or Seller
Representativesnoranysuppliers,licensees,customersanddistributorsofortotheBusiness,otherthanLarryReinhold,TexClark,EricLernerorMartinWolf),
withoutthepriorconsentofLarryReinhold.NoinformationorknowledgeobtainedinanyinvestigationpursuanttothisSection4.6shallaffectorbedeemedto
modifyanyrepresentationorwarrantycontainedhereinortheconditionstotheobligationsofthepartiestoconsummatetheTransaction.
(b)In furtherance of the foregoing, Systemax shall, and shall cause its Representatives and Affiliates to, at Purchaser’s expense, use
commerciallyreasonableeffortstoassistPurchaser,PCMandtheirrespectiveRepresentativesandAffiliateswiththepreparationofauditedfinancialstatementsof
theBusinessasmayberequiredbyRegulationS-KandRegulationS-XundertheSecuritiesActof1933,asamended,tobefiledbyPCMwiththeSecuritiesand
ExchangeCommissioninconnectionwithorasaresultoftheTransaction.
