consolidated balance sheets of Whirlpool Corporation at December 31, 2015 and 2014 and the related consolidated state-
ments of income, comprehensive income, stockholders’ equity and cash flows for each of the three years in the period ended
December 31, 2015 and in our report dated February 16, 2016, we expressed an unqualified opinion on those consolidated
financial statements. In our opinion, the information set forth in the accompanying financial statements as of December 31,
2015 and 2014 and for each of the three years in the period ended December 31, 2015 (presented on pages 43 through 47)
is fairly stated, in all material respects, in relation to the consolidated financial statements from which it has been derived.
We also have audited, in accordance with the standards of the Public Company Accounting Oversight Board (United States),
the effectiveness of Whirlpool Corporation’s internal control over financial reporting as of December 31, 2015, based on criteria
established in Internal Control—Integrated Framework issued by the Committee of Sponsoring Organizations of the Treadway
Commission (2013 framework), and our report dated February 16, 2016 expressed an unqualified opinion thereon.
