"Paying Agent" means any Person authorized by the Company to pay the principal of (and premium, if any) or interest on
any Securities on behalf of the Company. The Company initially authorizes the Trustee to act as Paying Agent for the Securities on its
behalf. The Company may at any time and from time to time authorize one or more Persons, including the Company, to act as Paying
Agent in addition to or in place of the Trustee with respect to any series of Securities issued under this Indenture.
"Person" means any individual, corporation, partnership, joint venture, association, joint-stock company, trust,
unincorporated organization or government or any agency or political subdivision thereof.
"Place of Payment" means with respect to any series of Securities issued hereunder the city or political subdivision so
designated with respect to the series of Securities in question in accordance with the provisions of Section 301.
"Predecessor Securities" of any particular Security means every previous Security evidencing all or a portion of the same
debt as that evidenced by such particular Security; and, for the purposes of this definition, any Security authenticated and delivered
under Section 306 in lieu of a lost, destroyed or stolen Security shall be deemed to evidence the same debt as the lost, destroyed or
stolen Security.
"Preferred Stock" means, as to any Person, capital stock of such Person that has a preference as to dividends or upon
liquidation over the common stock of such Person.
"Principal Property" of a Person means all land, buildings, machinery and equipment, and leasehold interests and
improvements in respect of the foregoing, that are located in the United States of America and that would be reflected on a
consolidated balance sheet of such Person provided that the term "Principal Property" shall not include any land, building, machinery,
equipment, leasehold interest or improvements which the Board of Directors of the Company by resolution determines not to be of
material importance to the total business conducted by the Company and its Subsidiaries as an entirety. Redemption Date", when used
with respect to any Security to be redeemed, means the date fixed for such redemption by or pursuant to this Indenture.
"Redemption Price", when used with respect to any Security to be redeemed, means the price specified in the Security at
which it is to be redeemed pursuant to this Indenture.
"Regular Record Date" for the interest payable on any Security on any Interest Payment Date means the date specified in
such Security as the Regular Record Date.
"Repayment Date", when used with respect to any Security to be repaid, means the date fixed for such repayment pursuant to
such Security.
