(b) For direct deposit (lockbox), in favor of Airbus North America Customer Services, Inc.:

6.4 Taxes
All payments due the Seller hereunder will be made in full without setoff or counterclaim and without deduction or withholding of any kind.
Consequently, the Buyer will assure that the sums received by the Seller under this Letter Agreement are equal to the full amounts expressed to be due
the Seller hereunder, without deduction or withholding on account of and free from any and all taxes, levies, imposts, dues or charges of whatever
nature except that if the Buyer is compelled by law to make any such deduction or withholding the Buyer will pay such additional amounts as may be
necessary in order that the net amount received by the Seller after such deduction or withholding will equal the amounts that would have been received
in the absence of such deduction or withholding.
6.5 If any payment due the Seller is not received in accordance with the time period provided in Paragraph 6.2, the Seller will have the right to claim from
the Buyer and the Buyer will promptly pay to the Seller interest on the unpaid amount at an annual rate equal to LIBOR for ** month deposits of a
similar amount plus ** (**) per year to be calculated from (and including) the due date to (but excluding) the date payment is received by the Seller, on
the basis of a ** year and actual number of days elapsed. The Seller's claim to such interest will not prejudice any other rights the Seller may have
under this Letter Agreement or applicable law.
7. TITLE
Title to any Material purchased under this Letter Agreement will remain with the Seller until full payment of the invoices therefore and any interest
thereon has been received by the Seller.
The Buyer will undertake that Material to which title has not passed to the Buyer will be kept free from any lien, security interest mortgage or other
charge or claim in favor of any third party.
