The Seller and its subcontractors will deliver Seller Parts requested on expedite basis against normal orders previously placed by the Buyer or upon
requests by telephone or facsimile by the Buyer's representatives, such requests to be confirmed by the Buyer's subsequent order for such Seller Parts
within a reasonable time.
4.3 Delivery Status
The Seller agrees to report to the Buyer the status of supplies against orders on a monthly basis or on a mutually agreed timeframe.
4.4 Excusable Delay
Clause 10.1 of the Agreement will apply to the Material support as defined in Paragraph 1 of this Letter Agreement.
4.5 Shortages, Overshipments, Nonconformance in Orders
4.5.1 Within ** after receipt of Material delivered pursuant to a purchase order, the Buyer will advise the Seller of any alleged shortages or overshipments
with respect to such purchase order and of all claimed nonconformance to specification of parts in such order.
In the event that the Buyer has not reported such alleged shortages, overshipments or nonconformance within such period, the Buyer will be deemed to
have accepted the deliveries unless, in the case of shortages, the Buyer can prove within a reasonable period of time that it did not receive the Material.
4.5.2 In the event that the Buyer reports over-shipments or nonconformance to the specifications within the period specified in Paragraph 4.5.1, the Seller
will, if such report is accepted, either replace the Material concerned or credit the Buyer for Material paid for but returned to the Seller. In such case,
transportation charges will be borne by the Seller.
The Buyer will endeavor to minimize such costs.

The Seller reserves the right to stop or otherwise suspend deliveries if the Buyer fails to meet its obligations under Paragraph 6.
