trade creditors in the ordinary course of business (including guarantees thereof as instruments evidencing such liabilities), (iv) any
Indebtedness or other obligation of such Person that is subordinate or junior in any respect to any other Indebtedness or other
obligation of such Person or (v) that portion of any Indebtedness that at the time of incurrence is incurred in violation of this
Agreement.
"Senior Note Documents" means the Senior Notes Indenture and all other instruments, agreements and other
documents evidencing the Senior Notes or providing for any guarantee or other right in respect thereof.
"Senior Notes" means the Borrower's 9%/9¾% Senior Notes due 2015, in an initial aggregate principal amount of
$700,000,000.
"Senior Notes Indenture" means the Indenture dated as of the date hereof, among the Borrower, as issuer, certain of
its subsidiaries, as guarantors, and Wells Fargo Bank, National Association, as trustee, pursuant to which the Senior Notes are issued.
"Senior Secured Asset-Based Revolving Credit Agreement" means the Credit Agreement dated as of the date hereof,
among Holdings, Merger Sub, the subsidiaries of the Borrower from time to time party thereto, Deutsche Bank Trust Company
Americas, as administrative agent and collateral agent, and the lenders from time to time party thereto.
"Senior Secured Asset-Based Revolving Credit Facility" means the credit facility provided under the Senior Secured
Asset-Based Revolving Credit Agreement, including any guarantees, collateral documents, instruments and agreements executed in
connection therewith, and any amendments, supplements, modifications, extensions, replacements, renewals, restatements, refundings
or refinancings thereof and any indentures or credit facilities or commercial paper facilities with banks or other institutional lenders or
investors that extend, replace, refund, refinance, renew or defease any part of the loans, notes, other credit facilities or commitments
thereunder, including any such replacement, refunding or refinancing facility or indenture that increases the amount borrowable
thereunder or alters the maturity thereof (provided that such increase in borrowings is permitted under Section 6.01).
"Senior Secured Term Loan Facility" means the credit facility provided under this Agreement, including any
guarantees, collateral documents, instruments and agreements executed in connection therewith, and any amendments, supplements,
modifications, extensions, replacements, renewals, restatements, refundings or refinancings thereof and any indentures or credit
facilities or commercial paper facilities with banks or other institutional lenders or investors that extend, replace, refund, refinance,
renew or defease any part of the loans, notes, other credit facilities or commitments thereunder, including any such replacement,
refunding or refinancing facility or indenture that increases the amount borrowable thereunder or alters the maturity thereof (provided
that such increase in borrowings is permitted under Section 6.01).
"Senior Subordinated Notes Indenture" means the Indenture dated as of the date hereof, among the Borrower, as
issuer, certain of its subsidiaries, as guarantors, and Wells Fargo Bank, National Association, as trustee, pursuant to which the Senior
Subordinated Notes are issued.
"Senior Subordinated Notes" means the Borrower's 103/2% Senior Subordinated Notes due 2015, in an initial
aggregate principal amount of $500,000,000.
"Senior Subordinated Note Documents" means the Senior Subordinated Notes Indenture and all other instruments,
agreements and other documents evidencing the Senior Subordinated Notes or providing for any guarantee or other right in respect
thereof.
