"Company Request", "Company Order" and "Company Consent" mean a written request, order or consent, respectively,
signed in the name of the Company by its Chairman of the Board, a Vice Chairman, its President or a Vice President, and by its
Treasurer, an Assistant Treasurer, its Secretary or an Assistant Secretary, and delivered to the Trustee.
"Consolidated Net Assets" means the total amount of all assets appearing on the consolidated balance sheet of the Company
and its Restricted Subsidiaries (at their net book values, after deducting related depreciation, amortization and all other valuation
reserves which have been set aside in connection with the business conducted and which are reflected on the aforementioned
consolidated balance sheet), less total current liabilities other than long-term liabilities due within one year.
"Corporate Trust Office" means the office of the Trustee in New York, New York at which at any particular time its
corporate trust business shall be principally administered, which office at the date hereof is located at 101 Barclay Street, Floor 21
West, New York, New York 10286.
"Defaulted Interest" has the meaning specified in Section 307.
"Depositary" means, unless otherwise specified by the Company pursuant to either Section 204 or 301, with respect to
securities of any series issuable or issued as a Global Security, The Depository Trust Company, New York, New York, or any
successor thereto registered as a clearing agency under the Securities Exchange Act of 1934, as amended, or other applicable statute or
regulation.
"Event of Default" has the meaning specified in Article Five.
"Funded Debt" means indebtedness of the Company or a Restricted Subsidiary that matures by its terms one year or more
after its creation or that is extendable or renewable at the option of the obligor to a date one year or more after the date of the
incurrence or assumption of such indebtedness, and indebtedness classified as long-term debt under generally accepted accounting
principles, in each case ranking in right of payment at least pari passu with the Securities.
"Global Security", when used with respect to any series of Securities issued hereunder, means a Security which is executed
by the Company and authenticated and delivered by the Trustee to the Depositary or pursuant to the Depositary's instruction, all in
accordance with this Indenture and an indenture supplemental hereto, if any, or Board Resolution and pursuant to a Company Request,
which shall be registered in the name of the Depositary or its nominee and which shall represent, and shall be denominated in an
amount equal to the aggregate principal amount of, all of the Outstanding Securities of such series or any portion thereof, in either
case having the same terms, including, without limitation, the same original issue date, date or dates on which principal is due, and
interest rate or method of determining interest.
"Holder", when used with respect to any Security, means a Securityholder.
