The form of the Securities of each series shall be established pursuant to the provisions of this Indenture in or pursuant to the
Board Resolution or in the supplemental indenture creating such series. The Securities of each series shall be distinguished from the
Securities of each other series in such manner, reasonably satisfactory to the Trustee, as the Board of Directors may determine.
Unless otherwise provided with respect to Securities of a particular series, the Securities of any series may only be issuable in
registered form, without coupons.
Any terms or provisions in respect of the Securities of any series issued under this Indenture may be determined pursuant to
this Section by providing for the method by which such terms or provisions shall be determined.
Section 3.12. Denominations. The Securities of each series shall be issuable in such denominations as shall be provided in
the provisions of this Indenture or in or pursuant to the Board Resolution or the supplemental indenture creating such series. In the
absence of any such provisions with respect to the Securities of any series, the Securities of that series shall be issuable only in fully
registered form in denominations of $1,000 and any integral multiple thereof.
Section 3.13. Execution, Authentication and Delivery and Dating. The Securities shall be executed on behalf of the
Company by its Chairman of the Board, its Vice Chairman, its President or one of its Vice Presidents. The signature of any of these
officers on the Securities may be manual or facsimile.
Securities bearing the manual or facsimile signatures of individuals who were at any time the proper officers of the Company
shall bind the Company, notwithstanding that such individuals or any of them have ceased to hold such offices prior to the
authentication and delivery of such Securities or did not hold such offices at the date of such Securities.
At any time and from time to time after the execution and delivery of this Indenture, the Company may deliver Securities
executed by the Company to the Trustee for authentication; and the Trustee shall, upon Company Order, authenticate and make
available for delivery such Securities as in this Indenture provided and not otherwise.
Prior to any such authentication and delivery, the Trustee shall be entitled to receive, in addition to any Officers' Certificate and
Opinion of Counsel required to be furnished to the Trustee pursuant to Section 102, and the Board Resolution and any certificate
relating to the issuance of the series of Securities required to be furnished pursuant to Section 202, an Opinion of Counsel stating that:
