restrictions on the payment of dividends by ING U.S., Inc.’s other insurance subsidiaries and other factors
deemed relevant by the Board. The payment of dividends is also subject to restrictions under the terms of our
junior subordinated debentures in the event we should choose to defer interest payments on those debentures. See
