This Amendment is made in accordance with Section 8.3 of the Purchase Agreement, and constitutes an integral part thereof.

Except as expressly stated in this Amendment, the Purchase Agreement shall remain unchanged.

This Amendment may be executed in any number of counterparts, each of which shall be deemed an original but all of which together shall
constitute one and the same instrument. A signed Amendment received by a Party via facsimile or electronic mail will be deemed an
original, and binding upon the party who signed it.
