TERMS OF REFERENE
The Corporate Responsblty ommttee oversees Unlever’s
conduct as a responsble multnatonal busness The Commttee
s also charged wth ensurng that Unlever’s reputaton s
protected and enhanced A key element of the Commttee’s role s
the need to dentfy any external developments whch are lkely to
have an nfluence upon Unlevers standng n socety and to brng
these to the attenton of the Boards
The Commttee comprses three Non-Executve Drectors In May
2013 Sr Malcolm Rfknd and Hxona Nyasulu rotated off the
ommttee Louse Fresco succeeded Sr Malcolm as har of the
ommttee and was joned by two further Non-Executve
Drectors harles Golden, who transferred to the Commttee
from hs prevous role on the Audt ommttee; and Laura Cha,
who was apponted as a Non-Executve Drector of Unlever at the
2013 AGMs The Chef Marketng & ommuncaton Offcer attends
the ommttee’s meetngs
The Commttee’s dscussons are nformed by the perspectves of
the Group’s two sustanablty leadershp groups, both of whch
are chared by the hef Marketng & ommuncaton Offcer The
frst s the Unlever Sustanable Development Group (USDG) – a
group of experts from outsde the Group who advse Unlever’s
senor leadershp on ts sustanablty strategy The second s the
Unlever Sustanable Lvng Plan Steerng Team – the group of
Unlever’s senor executves who are accountable for drvng
sustanable growth The nsghts from these groups help to keep
the Boards nformed of current and emergng trends and any
potental rsks arsng from sustanablty ssues
Durng 2013 the Boards revewed the terms of reference of the
ommttee wth the result that mnor changes were ncorporated
nto ts terms of reference

MEETINS
Meetngs are held quarterly and ad hoc as requred The Commttee
harman reports the conclusons to the Boards Four meetngs
were held n 2013 In addton, a further nformaton sesson was
arranged to bref the new and exstng members of the orporate
Responsblty ommttee and the Audt ommttee on the Unlever
Sustanable Lvng Plan (see below)
The Commttee’s agenda comprses a number of standng tems
These nclude the ode of Busness Prncples (the ode) and
ltgaton as well as occupatonal safety and product safety and
qualty The Commttee revews prorty topcs, such as the Unlever
Sustanable Lvng Plan (USLP), the corporate rsks whch fall
wthn ts remt and a range of strategc and current ssues In July,
the new Char of the ommttee formulated a new structure for
ommttee dscussons, enablng members to focus n detal on
these responsbltes

The Commttee s responsble for the oversght of the ode and
assocated ode Polces whch set out the standards of conduct
we expect of our employees
The Commttee ensures that the ode and ode Polces reman
ft for purpose and are approprately appled The Audt
