Company intranet or the internet site of a third party involved in administering the Plan, the delivery of the document via
electronic mail (“e-mail”) or such other means specified by the Company. You hereby consent to receive the above-
listed documents by electronic delivery and, if permitted by the Company, agree to participate in the Plan through an on-
line or electronic system established and maintained by the Company or a third party designated by the Company, as set
forth herein.
22. Addendum . Notwithstanding any provisions in this Agreement, this Option shall be subject to any
special terms and conditions set forth in any Addendum to this Agreement for your country. Moreover, if you relocate to
one of the countries included in the Addendum, the special terms and conditions for such country will apply to you, to
the extent the Company determines that the application of such terms and conditions is necessary or advisable in order to
comply with local law or facilitate the administration of the Plan. The Addendum constitutes part of this Agreement.
23. Waiver . The waiver by the Company with respect to your (or any other Participant's) compliance of
any provision of this Agreement shall not operate or be construed as a waiver of any other provision of this Agreement,
or of any subsequent breach of such party of a provision of this Agreement.
24. Repayment/Forfeiture . Any benefits you may receive hereunder shall be subject to repayment or
forfeiture as may be required to comply with (a) any applicable listing standards of a national securities exchange
adopted in accordance with Section 954 of the Dodd-
Frank Wall Street Reform and Consumer Protection Act (regarding
recovery of erroneously awarded compensation) and any implementing rules and regulations of the U.S. Securities and
Exchange Commission adopted thereunder, (b) similar rules under the laws of any other jurisdiction and (c) any policies
adopted by the Company to implement such requirements, all to the extent determined by the Company in its discretion
to be applicable to you.
