If this Agreement is terminated pursuant to Section 16.2(c) prior to the end of the Initial Term, NMG shall pay Bank the sum of (i) the
NMG Marketing Commitment for the Fiscal Year prior to such termination (or the NMG Marketing Commitment for the first Fiscal
Year if this Agreement is terminated prior to the end of the first full Fiscal Year of the term), (ii) the Joint Marketing Commitment for
the Fiscal Year prior to such termination (or the Joint Marketing Commitment for the first Fiscal Year if this Agreement is terminated
prior to the end of the first full Fiscal Year of the term), and (iii) the following amount:
