(2) During fiscal 2006, Autodesk Development B.V. (Netherlands) acquired a $358 million partial interest
in Autodesk Asia Pte Ltd. which had previously been held by Autodesk, Inc. as a result of an internal
reorganization. This investment is eliminated upon consolidation.

Design Solutions Segment.
