Directors' Report
Review of the Group’s business
The Company and its subsidiary and associated undertakings are involved principally in the provision of mobile
telecommunications services. A review of the development of the business of the Company and its subsidiary and
associated undertakings is contained in the Chairman’s statement, the Chief Executive’s statement and the operating and
financial reviews (being the review of UK Operations, International Operations, Community and Environment and the
Financial Review). Details of the Company’s principal subsidiary undertakings, associated undertakings and investments
can be found here.
Future developments
The Group is currently involved in the expansion and development of its cellular telecommunications and related
businesses as described in the Chairman’s statement, the Chief Executive’s statement and the operating and financial
reviews (being the review of UK Operations , International Operations , Community and Environment and the Financial
Review ). Details of the Company’s principal subsidiary undertakings , associated undertakings and investments can be

Corporate governance
The directors are committed to business integrity and professionalism. As an essential part of this commitment the Board

Share capital
A statement of changes in the share capital of the Company is set out in note 18 of the financial statements.
Purchase by the Company of its own shares
At the Extraordinary General Meeting of the Company held on 24 May 1999, and conditional upon and with effect from the
merger agreement with AirTouch becoming unconditional, shareholders gave the Company permission, until the
conclusion of the Annual General Meeting to be held in 2000 or 24 August 2000, whichever is the earlier, to purchase up
to 315,072,629 ordinary shares of the Company.
