USA Education, Inc.* common shares trade on the New York
Stock Exchange under the symbol SLM. The following table sets
forth the high and low sales prices for the Company’s common

The Company paid regular quarterly dividends of $.16 per
share on the common stock in each of the first three quarters
of 2000, $.175 per share for the fourth quarter of 2000 and
the first three quarters of 2001, and $.20 per share for the
fourth quarter of 2001 and the first quarter of 2002.

The annual meeting of shareholders will be held on Thursday,
May 16, 2002, at 10:00 a.m. EST, at the Sallie Mae headquar-
ters office, 11600 Sallie Mae Drive, Reston, VA 20193.

and Exchange Commission, has been mailed to shareholders of
record as of March 18, 2002, together with this Annual Report.
