The Guarantor hereby undertakes the obligations set forth herein in connection with the Loan Agreement of JPY 18,000,000,000 in aggregate (the “Agreement”)
dated September 25, 2003, by and among FASL Japan Limited as the Borrower, [Name] as the Lender, and Mizuho Corporate Bank, Ltd. as the Agent. The
capitalized terms used herein shall have the meaning set forth in the Agreement unless otherwise defined in this Guarantee.
1 Guarantee
1.1 The Guarantor shall jointly and severally guarantee all of the obligations undertook by the Borrower against the Lender and the Agent under the
Agreement. If any obligation, which the Borrower undertook by the Agreement, has become due or demanded, the Guarantor shall, in accordance with the
procedure set forth under Clause 16 of the Agreement, fully pay to the Agent, which has become payable to the Agent, and to the Lender via the Agent,
which has become payable to the Lender.
