EXHIBIT I
DEFINITIONS
As used in this Agreement, the following terms shall have the following meanings (such meanings to be equally applicable to both the
singular and plural forms of the terms defined):
“Accrual Period” means each calendar month, provided that the initial Accrual Period hereunder means the period from (and
including) the date of the initial purchase hereunder to (and including) the last day of the calendar month thereafter.
“Adverse Claim” means a lien, security interest, charge or encumbrance, or other right or claim in, of or on any Person’s assets or
properties in favor of any other Person.
“Affected Committed Purchaser” has the meaning specified in Section 11.1(c).
“Affiliate” means, with respect to any Person, any other Person directly or indirectly controlling, controlled by, or under direct or
indirect common control with, such Person or any Subsidiary of such Person. A Person shall be deemed to control another Person if the
controlling Person owns 10% or more of any class of voting securities of the controlled Person or possesses, directly or indirectly, the power to
direct or cause the direction of the management or policies of the controlled Person, whether through ownership of stock, by contract or
otherwise.
“Collateral Agent” has the meaning set forth in the preamble to this Agreement.
“Aggregate Capital” means, at any time, the sum of all Capital of all Purchaser Interests.
“Aggregate Reduction” has the meaning specified in Section 1.3.
“Aggregate Reserves” means, on any date of determination, the sum of the Loss Reserve, the Discount and Servicing Fee Reserve and
the Dilution Reserve.
“Aggregate Unpaids” means, at any time, an amount equal to the sum of all Capital and all other unpaid Obligations (whether due or
accrued) at such time.
“Agreement ” means this Amended and Restated Receivables Purchase Agreement, as it may be amended or modified and in effect
from time to time.
“Alternate Base Rate” means, for any day, the rate per annum equal to the higher as of such day of (i) the Prime Rate or (ii) one-half
of one percent (0.50%) per annum above the Federal Funds Effective Rate. For purposes of determining the Alternate Base Rate for any day,
changes in the Prime Rate or the Federal Funds Effective Rate shall be effective on the date of each such change. The Alternate Base Rate is
not necessarily intended to be the lowest rate of interest determined by Wachovia in connection with extensions of credit.
