The audit and risk committee of Visa Canada limited the services provided by KPMG LLP to audit services and tax compliance. The audit and risk
committee pre-approved all audit and tax services provided by KPMG LLP.
Following October 2007 Reorganization
Following our October 2007 reorganization, our board of directors established an audit and risk committee of Visa Inc. Consistent with SEC and
PCAOB requirements regarding auditor independence, the audit and risk committee has responsibility for appointing, setting compensation and overseeing
the work of the independent auditor. The audit and risk committee is required to pre-approve all auditing services, internal control-related services and
permitted non-audit services (including the terms thereof) to be performed for us by the independent auditor, subject to the de minimis exceptions for non-
audit services described in Section 10A(i)(1)(B) of the Exchange Act that are approved by the audit and risk committee prior to the completion of the audit.
The audit and risk committee is required to review and discuss with the independent auditor any documentation supplied by the independent auditor as to the
nature and scope of any tax services to be approved, as well as the potential effects of the provision of such services on the auditor's independence. The audit
and risk committee may form and delegate authority to subcommittees consisting of one or more members when appropriate, including the authority to grant
pre-approvals of audit and permitted non-audit services, provided that decisions of such subcommittee to grant pre-approvals shall be presented to the full
audit and risk committee at its next scheduled meeting.
