The decrease in Content & Media sales and marketing expenses was primarily due to a $2.5 million decrease in personnel and overhead-related costs due
to our MyPoints restructuring initiatives, a $1.6 million decrease in costs to acquire new social networking members and a $0.2 million decrease in costs to
acquire new loyalty marketing members.

The decrease in Content & Media technology and development expenses was the result of a decrease in personnel and overhead-related costs due to our
restructuring initiatives.

The increase in Content & Media general and administrative expenses was primarily due to a $5.5 million increase in reserves for legal settlements,
partially offset by a $2.8 million insurance reimbursement related to a legal settlement, which was recorded in the year ended December 31, 2013, as well as a
$0.3 million increase in professional services and consulting fees. These increases were partially offset by a $1.7 million decrease in personnel and overhead-
related costs and a $0.3 million decrease in bad debt expense.

