There is no established public trading market for our common stock. We had one record holder of common stock on February 27, 2015, and no equity
securities of ours are authorized for issuance under any equity compensation plan.
In 2014, we paid five dividends totaling $686 million. In 2013, we paid three dividends totaling $28 million. The senior secured revolving credit facility,
senior secured term loan facility, and the indentures governing the senior secured notes, senior unsecured notes, and senior subordinated notes limit our
ability to pay dividends. See “Management’s Discussion and Analysis of Financial Condition and Results of Operations - Capital Resources and Liquidity”
included in Part II, Item 7 and Note 10 "First Data Corporation Stockholder's Equity and Redeemable Noncontrolling Interest" to our Consolidated Financial
