Exchange Business Day; Disrupted Day: Sections 1.29 and 6.4 of the Equity Definitions are hereby amended by adding “,

Automatic Exercise:
Applicable; and means that the Number of Options for the relevant Component will be
deemed to be automatically exercised at the Expiration Time on the Expiration Date for such
Component if at such time such Component is In-the-
Money, as determined by the
Calculation Agent, unless Buyer notifies Seller (by telephone or in writing) prior to the
Expiration Time on such Expiration Date that it does not wish Automatic Exercise to occur
with respect to such Component, in which case Automatic Exercise will not apply with
respect to such Component. “ In-the-Money ”
means, in respect of any Component, that the
VWAP Price on the Expiration Date for such Component is greater than the Strike Price for
such Component.

Settlement Method Election: Applicable; provided
that (a) Section 7.1 of the Equity Definitions is hereby amended by
replacing the term “Physical Settlement” with the term “Net Share Settlement”
