(b) Share-for-Other:
Cancellation and Payment (Calculation Agent Determination) on that portion of the Other
Consideration that consists of cash; Modified Calculation Agent Adjustment on the
remainder of the Other Consideration and, for the avoidance of doubt, if the Other
Consideration includes (or, at the option of a holder of Shares, may include) Foreign Issuer
Shares, then the Calculation Agent may choose to apply Cancellation and Payment
(Calculation Agent Determination) to that portion of the Other Consideration comprising
Foreign Issuer Shares.
(c) Share-for-Combined: Component Adjustment
Tender Offer:
Applicable; provided that Section 12.1(d) of the Equity Definitions is hereby amended by
replacing the words “10%” in the third line with “50%”.
(a) Share-for-Share: Modified Calculation Agent Adjustment
(b) Share-for-Other:
Cancellation and Payment (Calculation Agent Determination) on that portion of the Other
Consideration that consists of cash; Modified Calculation Agent Adjustment on the
remainder of the Other Consideration and, for the avoidance of doubt, if the Other
Consideration includes (or, at the option of a holder of Shares, may include) Foreign Issuer
Shares, then the Calculation Agent may choose to apply Cancellation and Payment
(Calculation Agent Determination) to that portion of the Other Consideration comprising
Foreign Issuer Shares.
(c) Share-for-Combined: Component Adjustment
Nationalization, Insolvency or Delisting:
Cancellation and Payment (Calculation Agent Determination); provided that in addition to
the provisions of Section 12.6(a)(iii) of the Equity Definitions, it shall also constitute a
Delisting if the Exchange is located in the United States and the Shares are not immediately
re-listed, re-traded or re-
quoted on any of the New York Stock Exchange, the NASDAQ
Global Select Market or the NASDAQ Global Market (or their respective successors); if the
Shares are immediately re-listed, re-traded or re-
quoted on any such exchange or quotation
system, such exchange or quotation system shall be deemed to be the Exchange.
(a) Change in Law: Applicable; provided
that Section 12.9(a)(ii) of the Equity Definitions is hereby amended by
(i) replacing the phrase “the interpretation” in the third line thereof with the phrase “
or
announcement or statement of the formal or informal interpretation”,
and (ii) immediately
following the word “that” in the sixth line thereof, adding the phrase “
as a result of one or
more of the circumstances listed in (A) and (B)
