3. Calculation Agent : Dealer; provided
that all determinations made by the Calculation Agent shall be made in good faith and in a
commercially reasonable manner. Following any calculation by the Calculation Agent hereunder, upon a prior written request by Issuer, the
Calculation Agent will provide to Counterparty by e-mail to the e-
mail address provided by Counterparty in such a prior written request a report
(in a commonly used file format for the storage and manipulation of financial data) displaying in reasonable detail the basis for such calculation;
and provided further
that no transferee of the Transaction in accordance with the terms of this Confirmation shall act as Calculation Agent with
respect to such transferred Transaction without the prior consent of Counterparty, such consent not to be unreasonably withheld.
