The Merger could be completed on terms different from those contained in the Merger Agreement.
Prior to the completion of the Merger, Exelon and PHI could, by their mutual agreement, amend or alter the terms of the Merger Agreement,
including with respect to, among other things, the Merger consideration to be received by PHI stockholders or any covenants or agreements with
respect to the parties’ respective operations pending completion of the Merger. In addition, Exelon could choose to waive requirements of the
Merger Agreement, including some conditions to closing of the Merger.
