Dear Autodesk Stockholder:
You are cordially invited to attend Autodesk’s 2011 Annual Meeting of Stockholders to be held on
Thursday, June 16, 2011 at 3:00 p.m., Pacific Time, at our San Francisco office, The Landmark, One Market
Street, 2nd Floor, San Francisco, California 94105.
The 2011 Annual Meeting of Stockholders will be held for the following purposes:
1. to elect the nine directors listed in the accompanying Proxy Statement;
2. to ratify the appointment of Ernst & Young LLP as our independent registered public accounting firm
for the fiscal year ending January 31, 2012;
3. to hold a non-binding vote on executive compensation;
4. to hold a non-binding vote on the frequency of executive compensation votes; and
5. to transact such other business as may properly come before the Annual Meeting.
The accompanying Notice of 2011 Annual Meeting of Stockholders and Proxy Statement describe these
proposals in greater detail. We encourage you to read this information carefully.
This year we are continuing to take advantage of a relatively new Securities and Exchange Commission rule
that allows us to furnish our proxy materials over the Internet to all of our stockholders rather than in paper form.
We believe that this delivery process reduces our environmental impact and lowers the costs of printing and
distributing our proxy materials without impacting our stockholders’ timely access to this important information.
We hope that you will be able to attend this year’s Annual Meeting. At the Annual Meeting we will report to
our stockholders on fiscal 2011. There will be an opportunity for all stockholders present at the Annual Meeting
to ask questions. Whether or not you plan to attend the meeting, please vote on the Internet or by telephone or
request, sign and return a proxy card to ensure your representation at the meeting. Your vote is important.
