unless both parties hereto expressly agree in writing to include any such terms
or conditions in this Agreement or the Exhibits. No modification, alteration or
amendment shall be effective unless in writing and signed by both parties. No
waiver of any breach shall be held to be a waiver of any other or subsequent
breach.
IN WITNESS WHEREOF, THE PARTIES HAVE HAD THEIR DULY AUTHORIZED REPRESENTATIVES
EXECUTE THIS AGREEMENT IN DUPLICATE ORIGINALS TO HAVE AN EFFECTIVE DATE ON THE
