Compensation Committee Interlocks and Insider Participation
The members of the Corporate Governance, Nominating and Compensation Committee of our Board of Directors
during 2015 were Messrs. Karp (Chair), Schwartz and Ralls. To ensure that our compensation policies are administered in
an objective manner, our Corporate Governance, Nominating and Compensation Committee is comprised entirely of
independent directors. None of the members of our Corporate Governance, Nominating and Compensation Committee has
ever been an officer or employee of the Company or its subsidiaries. None of our executive officers serves as a member of
the Board of Directors or compensation committee of any entity that has one or more executive officers on our Board of
Directors or Corporate Governance, Nominating and Compensation Committee.
