The Corporate Governance, Nominating and Compensation Committee focuses primarily on the compensation
of our NEOs because risk-related decisions depend predominantly on their judgment. The Corporate Governance,
Nominating and Compensation Committee believes that risks arising from our policies and practices for compensation
of other employees are not reasonably likely to have a material adverse effect on us.
