these exposures, our Corporate Governance, Nominating and Compensation Committee assesses and monitors whether
any of our compensation policies and programs has the potential to encourage excessive risk-taking, monitors our major
legal compliance risk exposures and our program for promoting and monitoring compliance with applicable legal and
regulatory requirements, and our Board of Directors is responsible for monitoring and assessing strategic risk exposure
and other risks not covered by our committees.
The full Board of Directors (or the appropriate committee in the case of risks that are under the purview of a
particular committee) receives reports on the risks we face from our Chief Executive Officer or other members of
management to enable us to understand our risk identification, risk management and risk mitigation strategies. When a
committee receives the report, the chairman of the relevant committee reports on the discussion to the full Board of
Directors during the committee reports portion of the next Board of Directors meeting. However, it is the responsibility
of the committee chairs to report findings regarding material risk exposures to our Board of Directors as quickly as
possible.
