In2014,theCompanyenrolledintheWesternAssociationofFish
andWildlifeAgenciesrange-wideconservationplanwhichconsistsof
industry-specificconse vationpracticesthatapplytoprojectsand
activitiesintheimpactedarea.Therange-wideconservationplanwas
approvedbytheU.S.FishandWildlifeServiceandincorporatedas
partoftheagency’sfinaldecisiononMarch27,2014tolistthelesser
prairiechickenasathreatenedspecies.OnSeptember1,2015,the
U.S.DistrictCourtWesternDistrictofTexasvacatedfederalprotections
forthelesserprairiechickenbasedontheU.S.FishandWildlife
Service’sfailuretothoroughlyconsidertheactiveconservationefforts
inmakingthelistingdecision.
AirQualityControlSystem
OnSeptember10,2014,OG&Eexecutedacontractforthedesign,
engineeringandfabricationoftwocirculatingdryscrubbersystems
tobeinstalledatSoonerUnits1and2.OG&Eenteredintoan
agreementonFebruary9,2015,toinstallthedryscrubbersystems.
ThedryscrubbersarepartofOG&E’sECPandscheduledtobe
completedby2019.MoredetailregardingtheECPcanbefound
underthe“PendingRegulatoryMatters”sectionofNotesto
ConsolidatedFinancialStatements.
Waste
OG&E’soperationsgeneratewastesthataresubjecttotheFederal
ResourceConservationandRecoveryActof1976aswellas
comparablestatelawswhichimposedetailedrequirementsfor
thehandling,storage,treatmentanddisposalofwaste.
OnDecember19,2014,theEPAfinali edaruleundertheFederal
ResourceConservationandRecoveryActforthehandlingand
disposalofcoalcombustionresidualsorcoalash.Thefinal ule
regulatescoalashasasolidwasteratherthanahazardouswaste,
whichwouldhavemadethemanagementofcoalashmorecostly.
OG&Ehasevaluatedthepotentialimpactsofthefinal uleonourash
pondsandhassetupareservebasedonareasonableestimate.
TheCompanyhassoughtandwillcontinuetoseekpollution
preventionopportunitiesandtoevaluatetheeffectivenessofitswaste
reduction,reuseandrecyclingefforts.In2015,theCompanyobtained
refundsof$2.3millionfromtherecyclingofscrapmetal,salvaged
transformersandusedtransformeroil.Thisfiguredoesnotincludeth
additionalsavingsgainedthroughthereductionand/oravoidanceof
disposalcostsandthereductioninmaterialpurchasesduetothereuse
ofexistingmaterials.Similarsavingsareanticipatedinfutureyears.
Water
OG&E’soperationsaresubjecttotheFederalCleanWaterAct,and
comparablestatelawsandregulations.Theselawsandregulations
imposedetailedrequirementsandstrictcontrolsregardingthe
dischargeofpollutantsintostateandFederalwaters.
TheEPAissuedafinal uleonMay19,2014toimplement
Section316(b)oftheFederalCleanWaterAct,whichrequiresthat
powerplantcoolingwaterintakestructurelocation,design,
constructionandcapacityreflectthebest vailabletechnologyfor
minimizingtheiradverseenvironmentalimpactviatheimpingement
andentrainmentofaquaticorganisms.TheEPAissuedafinal ule
onMay19,2014.OG&Esubmittedcomplianceplanstothestatein
April2015.OG&Eexpectstobeabletoprovideareasonableestimate
ofanymaterialcostsassociatedwiththerule’simplementation.
Site Remediation
TheComprehensiveEnvironmentalResponse,Compensationand
LiabilityActof1980andcomparablestatelawsimposeliability,without
regardtothelegalityoftheoriginalconduct,oncertainclassesof
personsresponsibleforthereleaseofhazardoussubstancesintothe
environment.BecauseOG&Eutilizesvariousproductsandgenerate
wastesthatareconsideredhazardoussubstancesforpurposesofthe
ComprehensiveEnvironmentalResponse,CompensationandLiability
Actof1980,OG&Ecouldbesubjecttoliabilityforthecostsofcleaning
upandrestoringsiteswherethosesubstanceshavebeenreleasedto
theenvironment.Atthistime,itisnotanticipatedthatanyassociated
liabilitywillcauseasignificantimpacttoOG&E

environmentallawsandregulations,seeNote14ofNotesto
ConsolidatedFinancialStatements.

anextensionrequestforuptotwoyears.Thecomplianceperiodwasto
beginin2022,andemissionreductionsweretobephasedinby2030.
TheEPAalsoproposedafederalcomplianceplantoimplementthe
CleanPowerPlanintheeventthatanapprovablestateplanwasnot
submittedtotheEPAbytherequireddeadline.
Anumberofstateshavefiledl wsuitsagainsttheCleanPower
Plan.OnFebruary9,2016,theU.S.SupremeCourtissuedorders
stayingimplementationoftheCleanPowerPlanpendingresolution
ofchallengestotherule.TheCompanyisunabletodeterminewhat
impactthelawsuitswillultimatelyhaveontheCleanPowerPlan
orwhatimpactthestayinimplementationwillhave;howeverifthe
CleanPowerPlansurvivesjudicialreviewandisimplementedas
written,itcouldresultinsignificantadditionalcompliancecoststhat
wouldaffectourfutureconsolidatedfinancialposition,resultsof
operationsandcashfl wsifsuchcostsarenotrecoveredthrough
regulatedrates.Significantunce taintieswouldremainwithregards
topotentialimplementationinOklahoma(andthefederalplanthat
wouldbeimposedbytheEPAforstatesthatdonotsubmitapprovable
plans),includingwhetherstateswouldelectanemissionsstandards
approachversusastatemeasuresapproach,whetherandwhattype
ofemissionstradingwouldbeallowed,andavailablecostmitigation
options.Duetothependinglitigationandtheuncertaintiesinthestate
approaches,theultimatetimingandimpactofthesestandardsonour
operationscannotbedeterminedwithcertaintyatthistime.
ClimateChangeandGreenhouseGasEmissions
Thereiscontinuingdiscussionandevaluationofpossibleglobal
climatechangeincertainregulatoryandlegislativearenas.Thefocus
isgenerallyonemissionsofgreenhousegases,includingCO2,sulfur
hexafluo ideandmethane,andwhethertheseemissionsare
contributingtothewarmingoftheearth’satmosphere.InDecember
2015,aspartofthe21stConferenceofthePartiestotheUnited
NationsFrameworkConventiononClimateChange,theUnitedStates
committedtoreduceeconomywideemissionsby26percentto
28percentbelow2005emissionlevels.Thismultinationalagreement
willbeopenforsigningonApril22,2016andwillrequirecountriesto
reviewand“representaprogression”everyfi eyearsbeginningin
2020.Theagreementcouldresultinfutureadditionalemissions
reductionsintheUnitedStates,however,itisnotpossibletodetermine
whattheinternationallegalstandardsforgreenhousegasemissions
willbeinthefutureandtheextenttowhichcommitmentsunderthe
December2015ParisAgreementwillbeimplementedthroughthe
CleanAirAct,otherthanexistingstatutesandnewlegislation.
Severalstateshavepassedlaws,adoptedregulationsorundertaken
regulatoryinitiativestoreducetheemissionofgreenhousegases,
primarilythroughtheplanneddevelopmentofgreenhousegasemission
inventoriesand/orregionalgreenhousegascapandtradeprograms.
IflegislationorregulationsarepassedattheFederalorstatelevels
inthefuturerequiringmandatoryreductionsofCO2andother
greenhousegasesontheCompany’sfacilities,thiscouldresultin
significantadditionalcompliancecoststhat ouldaffecttheCompany’s
futurefinancialposition,resultsofope ationsandcashfl wsifsuch
costsarenotrecoveredthroughregulatedrates.
In2009,theEPAadoptedacomprehensivenationalsystemfor
reportingemissionsofCO2andothergreenhousegasesproducedby
majorsourcesintheUnitedStates.Thereportingrequirementsapply
tolargedirectemittersofgreenhousegaseswithemissionsequaltoor
greaterthanathresholdof25,000metrictonsperyear,whichincludes
certainOG&Efacilities.OG&EalsoreportsquarterlyitsCO2emissions
fromgeneratingunitssubjecttotheFederalAcidRainProgram.OG&E
hassubmittedthereportsrequiredbytheapplicablereportingrules.
Nonetheless,OG&E’scurrentbusinessstrategywillresultina
reducedcarbonemissionsratecomparedtocurrentlevels.As
discussedin“PendingRegulatoryMatters”,OG&Ehasfiledan
applicationwiththeOCCforapprovalofitsplantocomplywiththe
EPA’sMATSandRegionalHazeFIPbyconvertingtwocoal-fired
generatingunitsatMuskogeeStationtonaturalgas,amongother
measures.OG&E’sdeploymentofSmartGridtechnologyhelpsto
reducethepeakloaddemand.OG&Ealsoseekstoutilizerenewable
energysourcesthatdonotemitgreenhousegases.OG&E’sservice
territorybordersoneofthenation’sbestwindresourceareas.OG&E
hasleverageditsgeographicpositiontodeveloprenewableenergy
resourcesandcompletedtransmissioninvestmentstodeliverthe
renewableenergy.TheSPPhasbeguntoauthorizetheconstruction
oftransmissionlinescapableofbringingrenewableenergyoutofthe
windresourceareainwesternOklahoma,theTexasPanhandleand
westernKansastoloadcentersbyplanningformoretransmissionto
bebuiltinthearea.Inadditiontoincreasingoverallsystemreliability,
thesenewtransmissionresourcesshouldprovidegreateraccessto
additionalwindresourcesthatarecurrentlyconstrainedduetoexisting
transmissiondeliverylimitations.
EPAStartup,ShutdownandMalfunctionPolicy
OnMay22,2015,theEPAissuedafinal uletoaddresstheoutdated
provisionsintheSIPof36states,includingOklahoma,regardingthe
treatmentofemissionsthatoccurduringstartup,shutdownand
malfunctionoperations.Thefinal uleclarifiestheE A’sStartup,
ShutdownandMalfunctionPolicytoassureconsistencywiththeClean
AirActandotherrecentcourtdecisions.TheOklahomaDepartmentof
EnvironmentalQualityisintheprocessofdevelopingaSIPtocomply
withthisrule,whichistobesubmittedtotheEPAbeforeNovember
2016.Althoughtheextentofimpactisnotknown,thisrulewillimpact
certainOG&Eunits.
EndangeredSpecies
CertainFederallaws,includingtheBaldandGoldenEagleProtection
Act,theMigratoryBirdTreatyActandtheEndangeredSpeciesAct,
providespecialprotectiontocertaindesignatedspecies.Theselaws
andanystateequivalentsprovideforsignificantcivilandc iminal
penaltiesforunpermittedactivitiesthatresultinharmtoorharassment
ofcertainprotectedanimalsandplants,includingdamagetotheir
habitats.IfsuchspeciesarelocatedinanareainwhichtheCompany
conductsoperations,orifadditionalspeciesinthoseareasbecome
subjecttoprotection,theCompany’soperationsanddevelopment
projects,particularlytransmission,windorpipelineprojects,couldbe
restrictedordelayed,ortheCompanycouldberequiredtoimplement
expensivemitigationmeasures.
