There are a number of risks associated with the FTD Spin-Off Transaction and they may have a material and adverse impact on our business,
financial condition, results of operations, and cash flows.
On November 1, 2013, United Online, Inc. consummated the FTD Spin-Off Transaction. There are a number of risks associated with the FTD
Spin-Off Transaction, including, without limitation, the following:
Each of the independent publicly-traded companies resulting from the completion of the FTD Spin-Off Transaction may be unable to
achieve some or all of the full strategic and financial benefits that we expected would result from the separation of the Company and
FTD into independent publicly-traded companies, or such benefits may be delayed or may not occur at all.
Following the consummation of the FTD Spin-Off Transaction, the Company is smaller and less diversified, as compared to
immediately prior to the consummation of the FTD Spin-Off Transaction.
The Company shared economies of scope and scale with FTD in costs and vendor relationships and took advantage of size and
purchasing power in procuring certain products and services, such as insurance and healthcare benefits, technology and computer
software licenses. With the consummation of the FTD Spin-Off Transaction, we may be unable to obtain these products and services at
prices or on terms as favorable to us as those we obtained prior to the consummation of the FTD Spin-Off Transaction.
Any of the foregoing, in addition to any other risks related to the transaction that are not specifically described above, could materially and
adversely affect our business, financial condition, results of operations, and cash flows.
If the FTD Spin-Off Transaction were to fail to qualify as a tax-free transaction for U.S. federal income tax purposes, then the FTD Spin-Off
Transaction could result in significant tax liabilities.
United Online, Inc. received a private letter ruling from the IRS, substantially to the effect that, for U.S. federal income tax purposes, the FTD
Spin-Off Transaction qualifies as a tax-free transaction for U.S. federal income tax purposes under Section 355 of the Internal Revenue Code of 1986,
as
