Section 8.4. Assignment. This Agreement and all of the provisions hereof shall be binding upon and inure to the benefit of the
Parties and their respective successors and permitted assigns, but neither this Agreement nor any of the rights, interests or obligations
hereunder shall be assigned by either of the Parties without the prior written consent of the other Party; provided, however, that
United shall have the right, without the consent of Parent or Seller, to assign all of its rights, duties and obligations under this
Agreement (a) to any Subsidiary of United or (b) in connection with the sale of all or substantially all of the capital stock or assets of
United. For the avoidance of doubt, no such assignment shall relieve Parent or UHG of its obligations under Section 4.8.
