NOTICE OF ANNUAL MEETING OF SHAREHOLDERS
TO BE HELD MAY 29, 2014
Notice is hereby given that the 2014 Annual Meeting of Shareholders of Big Lots, Inc. will be held at our corporate
offices located at 300 Phillipi Road, Columbus, Ohio, on May 29, 2014, beginning at 9:00 a.m. EDT, for the
following purposes:
1. To elect as directors of Big Lots, Inc. the nine nominees named in our 2014 Proxy Statement;
2. To consider and vote upon a proposal to approve the amended and restated Big Lots 2012 Long-Term
Incentive Plan;
3. To consider and vote upon a proposal to approve the amended and restated Big Lots 2006 Bonus Plan;
4. To approve, on an advisory basis, the compensation of our named executive officers, as disclosed in our
2014 Proxy Statement pursuant to Item 402 of Regulation S-K, including the Compensation Discussion
and Analysis, compensation tables and the narrative discussion accompanying the tables;
5. To ratify the appointment of Deloitte & Touche LLP as our independent registered public accounting
firm for fiscal 2014;
6. To consider a shareholder proposal if the proposal is properly presented for consideration at the Annual
Meeting; and
7. To transact such other business as may properly come before the Annual Meeting.
Only shareholders of record at the close of business on the record date, March 31, 2014, are entitled to notice of and
to vote at the Annual Meeting and any postponement or adjournment thereof.
