The Directors have general responsibility for taking such steps as are
reasonably open to them to safeguard the assets of the Group and to
prevent and detect fraud and other irregularities.
Disclosure controls and procedures
The Group Chief Executive, John Varley, and the Group Finance Director,
Naguib Kheraj, conducted with Group Management an evaluation of
the effectiveness of the design and operation of the Group’s disclosure
controls and procedures as at 31st December 2006, which are defined
as those controls and procedures designed to ensure that information
required to be disclosed in reports filed or submitted under the US
Securities Exchange Act of 1934 is recorded, processed, summarised
and reported within the time periods specified in the US Securities and
Exchange Commission’s rules and forms. As of the date of the
evaluation, the Group Chief Executive and Group Finance Director
concluded that the design and operation of these disclosure controls
and procedures were effective. The Group Chief Executive and Group
Finance Director also concluded that no significant changes were made
in our internal controls or in other factors that could significantly affect
these controls subsequent to their evaluation.
