materialadverseeffectuponourcapitalexpenditures,earnings
orcompetitivepositionbecausewehaveeitherestablishedade-
quatereservesorourcostforthatcomplianceisnotexpected
tobematerialtoourconsolidatedfinancialstatements.
DuringtheyearendedDecember31,2004,weincurred
approximately$2.3millionincapitalexpendituresforenviron-
mentalcontrolequipment,andweestimatewewillincur
approximately$3.9millionduring2005.Webelievethesecapital
expendituresforenvironmentalcontrolequipmentwillnothave
amaterialadverseeffectuponourconsolidatedfinancialstate-
mentsbecausetheaggregateamountoftheseexpendituresis
notexpectedtobematerial.
TheComprehensiveEnvironmentalResponse,Compensa-
tionandLiabilityAct(knownas“Superfund”or“CERCLA”)
imposesliabilityforthereleaseofa“hazardoussubstance”
intotheenvironment.Superfundliabilityisimposedwithout
regardtofaultandevenifthewastedisposalwasincompli-
ancewithlawsandregulations.Wehavebeenidentifiedas
apotentiallyresponsibleparty(“PRP”)inremedialactivities
relatedtovariousSuperfundsites,andweaccrueourshareof
theestimatedremediationcostsofthesitebasedontheratio
oftheestimatedvolumeofwastewecontributedtothesiteto
thetotalvolumeofwastedisposedatthesite.Withthejoint
andseveralliabilityimposedunderSuperfund,aPRPmaybe
requiredtopaymorethanitsproportionalshareofsuchcosts.
WehavebeenidentifiedasPRPsatvariousSuperfundsites
discussedbelow.TheUnitedStatesEnvironmentalProtection
Agency(the“EPA”)andappropriatestateagenciessupervise
investigativeandcleanupactivitiesatthesesites.AtDecem-
ber31,2004,wehaveaccrued$3.6millionofremediation
costsrelatedtothesitesdetailedbelow.Whenusedinthe
descriptionsofthesitesbelow,theworddeminimisreferstothe
smallestPRPs,whosecontributionrateisusuallylessthan1%.
(a) BakerPetrolite,HughesChristensen,anINTEQpredecessor
entity,BakerOilToolsandaformersubsidiarywerenamed
inApril1984asPRPsattheSheridanSuperfundSite
locatedinHempstead,Texas.TheTexasCommissionon
EnvironmentalQuality(“TCEQ”)isoverseeingtheremedial
workatthissite.TheSheridanSiteTrustwasformedto
managethesiteremediationandweparticipateasa
member.Basedontheuseofnewremedialtechnologies,
the2004costprojectionsforfullremediationhavebeen
reducedfrom$30millionto$6million,ofwhich$1.0mil-
lionhasbeencollected.Ourcontributionisapproximately
1.8%oftheestimated$5millioninremainingcosts.
(b) InDecember1987,oneofourformersubsidiarieswas
namedarespondentinanEPAAdministrativeOrderfor
RemedialDesignandRemedialActionassociatedwith
theMiddlefield-Ellis-WhismanStudyArea,aneightsquare
milesoilandgroundwatercontaminationsitelocatedin
MountainView,California.Asaresultoftheenvironmen-
talinvestigationsandaresultingreportdeliveredtothe
EPAinSeptember1991,theEPAhasinformedusthatno
furtherworkneedstobeperformedonthesite.Infact,
theEPAhasindicatedthatitdoesnotbelievethereisa
contaminantsourceontheproperty.Wesignedasettle-
mentagreementinMarch2004,whichtransferredany
futureliabilityforinvestigationandremediationatthesite
tothePRPgroup.Thesettlementamountwasnotmaterial.
(c) In1997,weenteredintoasettlementagreementwith
PrudentialInsuranceCompany(“Prudential”)regarding
costrecoveryfortheSanFernandoValley–Glendale
Superfund.Oneofourpredecessorsoperatedonthe
PrudentialpropertyinGlendale.Prudentialwasidentified
asaPRPfortheGlendaleSuperfund.Prudentialinstituted
legalproceedingsagainstusforcostrecoveryunderCER-
CLA.Withoutanyadmissionofliability,weagreedtopay
40%ofPrudential’scostsattributedtocleanupatthesite,
limitedtoacapof$0.3million.Apumpandtreatsystem
wasselectedasthecleanupremedyatGlendale,anditis
expectedtooperateuntil2012.Wecontinuetocontribute
ourportionofongoingassessmentstofundthisremedia-
tionstrategy.
(d) InJune1999,theEPAnamedaHughesChristensenprede-
cessorasaPRPattheLiTungstenSiteinGlenCove,New
York.Wecontributedademinimisamountofhazardous
substancestothesite.InDecember2004,theEPAissued
usaspecialdeminimissettlementofferbasedonthefact
thatourcontributionwaslimitedtometalscontamination,
notradiologicalcontamination,atthesite.Thesettlement
offerhasbeensignedandisnotmaterial.
(e) InJanuary1999,BakerOilTools,BakerPetroliteandpre-
decessorentitiesofBakerPetrolitewerenamedasPRPsby
theStateofCalifornia’sDepartmentofToxicSubstances
ControlfortheGibsonsiteinBakersfield,California.The
costestimateforremediationofthesiteisapproximately
$14million.Thecombinedvolumethatwecontributedto
thesiteisestimatedtobelessthan0.5%forliquidsand
0.25%forsolids.
(f) In2001,aHughesChristensenpredecessor,BakerOil
Tools,INTEQandoneofourformersubsidiarieswere
namedasPRPsintheForceRoadStateSuperfundSite
locatedinBrazoriaCounty,Texas.TheTCEQisoverseeing
theinvestigationandremediationattheForceRoadState
Site.Weparticipateasamemberofthetechnicalcommit-
teetoeffectivelymanagetheproject,sinceourcontribu-
tionisestimatedtobe71%.Theinitialinvestigationatthe
siteiscompleteandadetailedreporthasbeensubmitted
totheTCEQalongwithaproposedworkplan.Themost
currentcostprojectionsforclosureofthesiteareinthe
rangeof$5millionto$7million;however,thisprojection
maychangeoncetheremedialoptionsarefullyevaluated.
(g) In2002,BakerPetrolitepredecessors,HughesChristensen
predecessorsandtwoofourformersubsidiarieswere
identifiedasPRPsfortheMalonesitelocatedonCampbell
BayouRoadinTexasCity,Texas.TheEPAoverseesthe
investigationandremediationoftheMalonesite.TheEPA
hasengagedinsomeemergencyremovalactionsatthe
site.Theinvestigationisunderwayandwhencomplete,
remedialoptionswillbedevelopedandsubmittedtothe
