ELECTION฀OF฀DIRECTORS
Four฀Class฀II฀directors฀will฀be฀elected฀at฀the฀Annual฀Meeting฀of฀Stockholders฀to฀serve฀for฀three-year฀terms฀expiring฀at฀the฀Annual฀
Meeting฀of฀Stockholders฀expected฀to฀be฀held฀in฀April฀2008.฀However,฀if฀Proposal฀No.฀3฀to฀declassify฀the฀Company’s฀Board฀of฀Direc-
tors฀is฀adopted,฀all฀directors฀have฀agreed฀to฀stand฀for฀re-election฀at฀the฀Company’s฀2006฀Annual฀Meeting฀of฀Stockholders.
The฀following฀table฀sets฀forth฀each฀nominee฀director’s฀name,฀all฀positions฀with฀the฀Company฀held฀by฀the฀nominee,฀the฀nominee’s฀
principal฀occupation,฀age,฀year฀in฀which฀the฀nominee฀first฀became฀a฀director฀of฀the฀Company฀and฀class.฀Each฀nominee฀director฀has฀
agreed฀to฀serve฀if฀elected.

1999฀and฀was฀a฀director฀from฀1989฀to฀1999.฀Mr.฀Brady฀is฀a฀director฀of฀Pactiv฀
Corporation,฀a฀member฀of฀the฀Advisory฀Board฀of฀Northwestern฀University’s฀฀
