338,185,465shareswereissuedandoutstandingattheclose
ofbusinessonFebruary25,2005.Onlystockholdersofrecord
atthecloseofbusinessonthatdatewillbeentitledtovote
atthemeeting.EachshareofCommonStockentitlesthe
holderthereoftoonevoteoneachmattertobeconsidered
atthemeeting.
AssumingaquorumispresentattheAnnualMeeting,
eitherinpersonorrepresentedbyproxy,withrespecttothe
electionofdirectors,thefournomineesreceivingthegreatest
numberofvotescastbytheholdersoftheCommonStock
entitledtovoteonthematterwillbeelectedasdirectors,the
affirmativevoteoftheholdersofamajorityofthesharesof
CommonStockpresentinpersonorrepresentedbyproxyat
theAnnualMeetingandentitledtovoteonthematteris
requiredfortheapprovaloftheratificationofDeloitte&
ToucheLLPastheCompany’sIndependentAuditorforfiscal
year2005andStockholderProposalNo.1.Theaffirmativevote
oftheholdersof75%ofthetotalvotingpowerofallsharesof
CommonStockentitledtovoteonthematterisrequiredfor
theapprovaloftheAmendmentoftheCompany’sRestated
CertificateofIncorporationtodeclassifytheBoardofDirectors
andprovidefortheannualelectionofalldirectors.Therewill
benocumulativevotingintheelectionofdirectors.Under
Delawarelaw,abstentionsaretreatedaspresentandentitled
tovoteandthus,willbecountedindeterminingwhethera
quorumispresentandwillhavetheeffectofavoteagainst
amatter,exceptfortheelectionofdirectorsinwhichcasean
abstentionwillhavenoeffect.Sharesheldbybrokersornomi-
neesforwhichinstructionshavenotbeenreceivedfromthe
beneficialownersorpersonsentitledtovoteandforwhich
thebrokerornomineedoesnothavediscretionarypowerto
voteonaparticularmatter(called“brokernon-votes”),willbe
consideredpresentforquorumpurposesbutnotconsidered
entitledtovoteonthatmatter.Accordingly,brokernon-votes
willnothaveanyimpactonthevoteonamatter,exceptthe
proposedAmendmentoftheCompany’sRestatedCertificate
ofIncorporation,forwhichabrokernon-votewillcountasa
voteagainsttheproposedAmendment.

ineffectatthetimethisProxyStatementwasprinted,ifyou
holdyoursharesthroughabroker,yourbrokerispermitted
tovoteyourshareson“routine”matters,whichincludesthe
electionofdirectorsandtheratificationoftheIndependent
Auditor,evenifthebrokerdoesnotreceiveinstructionsfrom
