EnvironmentalMatters
Wearecommittedtothehealthandsafetyofpeople,
protectionoftheenvironmentandcompliancewithlaws,
regulationsandourpolicies.Ourpastandpresentoperations
includeactivitiesthataresubjecttodomestic(including
U.S.federal,stateandlocal)andinternationalregulations
withregardtoairandwaterqualityandotherenvironmental
matters.Webelieveweareinsubstantialcompliancewiththese
regulations.Regulationinthisareacontinuestoevolve,and
changesinstandardsofenforcementofexistingregulations,
aswellastheenactmentandenforcementofnewlegislation,
mayrequireusandourcustomerstomodify,supplementor
replaceequipmentorfacilitiesortochangeordiscontinue
presentmethodsofoperation.
Weareinvolvedinvoluntaryremediationprojectsatsome
ofourpresentandformermanufacturingfacilities,themajor-
ityofwhichrelatetopropertiesobtainedinacquisitionsor
tositesnolongeractivelyusedinoperations.Onrareocca-
sions,remediationactivitiesareconductedasspecifiedbya
governmentagency-issuedconsentdecreeoragreedorder.
Remediationcostsareaccruedbasedonestimatesofprobable
exposureusingcurrentlyavailablefacts,existingenvironmental
permits,technologyandpresentlyenactedlawsandregula-
tions.Forsiteswhereweareprimarilyresponsibleforthe
remediation,ourcostestimatesaredevelopedbasedon
internalevaluationsandarenotdiscounted.Suchaccruals
arerecordedwhenitisprobablethatwewillbeobligated
topayamountsforenvironmentalsiteevaluation,remediation
orrelatedactivities,andsuchamountscanbereasonablyesti-
mated.Iftheobligationcanonlybeestimatedwithinarange,
weaccruetheminimumamountintherange.Suchaccruals
arerecordedevenifsignificantuncertaintiesexistoverthe
ultimatecostoftheremediation.Ongoingenvironmental
compliancecosts,suchasobtainingenvironmentalpermits,
installationofpollutioncontrolequipmentandwastedisposal,
areexpensedasincurred.
DuringtheyearendedDecember31,2004,wespent
approximately$24.4milliontocomplywithdomesticand
internationalstandardsregulatingthedischargeofmaterials
intotheenvironmentorotherwiserelatingtotheprotection
oftheenvironment(collectively,“EnvironmentalRegulations”).
Thiscostincludesthetotalspentonremediationprojectsat
currentorformersites,Superfundprojectsandenvironmental
complianceactivities,exclusiveofcapital.In2005,weexpectto
spendapproximately$26.4milliontocomplywithEnvironmental
